TERMS OF SERVICE (TERMS & CONDITIONS)

1. BUSINESS IDENTITY & CORPORATE DISCLOSURE
Alon Nodes is a trading name of Alon Products Ltd. We operate exclusively as a Business-to-Business (B2B) infrastructure vendor.

2. THE B2B MANDATE & CONSUMER EXCLUSIONS
By utilizing this website, submitting a technical audit, or placing an order, you warrant that you are acting strictly for purposes relating to your trade, business, craft, or profession. Because all transactions are strictly commercial, the Consumer Contracts Regulations 2013 (including the 14-day statutory "cooling-off" period) do not apply.

3. PRODUCT SUITABILITY & ENGINEERING AUDITS
We provide high-specification, multi-GPU hardware optimized for local AI inference and training. While we offer a fully funded (£0.00) Certified Fit Audit to assist with hardware architecture, the client remains solely legally and operationally responsible for ensuring the final hardware specifications are compatible with their specific software stack, model parameters, and facility infrastructure.

4. PRICING & PAYMENT (BACS PROTOCOL)
All prices are listed in GBP (£). For high-density workstation and server orders exceeding £2,000, payment must be processed via BACS/Corporate Bank Wire. Due to the high value and limited allocation of enterprise silicon (e.g., NVIDIA RTX Ada and Blackwell units), orders are not processed, and hardware is not reserved in our build queue, until BACS funds have achieved absolute clearance in our accounts.

5. ORDER ACCEPTANCE & ALLOCATION LIMITS
A legally binding contract is only formed when we issue a formal "Order Acceptance" or "Dispatch Confirmation" via email. Submitting a Fit Audit or receiving an automated quote does not constitute order acceptance. We reserve the right to cancel or refuse orders for any reason, including suspected fraud, pricing errors, or our inability to secure required hardware allocations from manufacturers.

6. LOGISTICS, DELIVERY & DELAYS
All stated delivery timeframes are operational estimates. We are not liable for deployment delays caused by global supply chain disruptions, third-party freight carriers, or international customs clearances. Logistics, freight protocols, and signature requirements are governed by our Refund & Fulfillment Policy, which is incorporated into these Terms by reference.

7. RETURNS, REFUNDS & RMA
Hardware returns and warranty claims are strictly governed by our Refund & Fulfillment Policy. We do not accept returns, refunds, or exchanges for "change of mind," specification misjudgments, or project pivots. All Return Merchandise Authorizations (RMAs) must be pre-authorized by our engineering team and delivered securely to our Southampton Operational Lab.

8. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Alon Products Ltd (trading as Alon Nodes) shall not be liable for any indirect, incidental, special, or consequential damages. This explicitly includes, but is not limited to: loss of research data, loss of business profits, facility electrical faults, or the failure of AI model training/inference tasks. Under no circumstances shall our total liability for any legal or commercial claim exceed the exact purchase price paid for the hardware in question.

9. GOVERNING LAW & JURISDICTION
These Terms of Service and any separate B2B agreements whereby we provide you infrastructure or services shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
